This practical session is aimed at lawyers advising senior executives and will discuss strategic points of negotiation on entry into and exit from share/equity schemes.

This session will cover:

  • an overview of the types of equity arrangements typically in place for senior executives, ranging from public company share plans (e.g. PSP, DSBP) to private equity backed business structures (e.g. management equity incentive plans); and
  • practical issues/points of negotiation (from the perspective of both employer and senior executive advisers) including: (i) on entry into a scheme (be that starting employment and coming into an existing scheme or implementation of the scheme); and (ii) on leaving, including the applications of discretions and giving consideration to discrimination claims.

The session will include case studies to demonstrate to delegates the typical issues on joining and leaving a scheme that would be raised from the perspective of both the senior executive adviser and company adviser as well as in both public and private, contentious and non-contentious, contexts.
